TERMS AND CONDITIONS OF PURCHASE

1. GENERAL PROVISIONS

1.1. These terms and conditions of purchase (hereinafter – Rules) establish the rights, obligations, and responsibilities of the Buyer purchasing goods from the online store www.soundbox.lt (hereinafter – Buyer) and UAB Baltijos pervežimai (hereinafter – Seller). By purchasing goods from the online store, the Buyer confirms that they have read and agree to these Rules.

1.2. These Rules become binding for all visitors to the www.soundbox.lt online store from the moment they familiarize themselves with them and confirm (by checking the box "I have read") their acceptance, thereby concluding a purchase-sale agreement with the Seller.

1.3. Both natural persons and legal entities have the right to purchase in the www.soundbox.lt  online store.

1.4. The Seller has the right to change, amend, or supplement the Rules at any time, taking into account applicable legal requirements. Changes or additions take effect once published in the online store. The Buyer is informed of changes during the purchase process.

1.5. The purchase-sale contract between the Buyer and Seller is considered concluded when the Buyer places goods in the shopping cart, selects the delivery method, reads these Rules, and presses the confirmation button (checks the box), thus submitting and confirming their order. The agreement becomes effective and remains valid until full fulfillment of the parties' obligations. If the Buyer disagrees with all or part of the Rules, they may refuse to confirm or cancel the order.

1.6. Details about the Seller are stored in the Register of Legal Entities, managed by the State Enterprise Centre of Registers.

2. GOODS AND PRICES

2.1. Images of goods in the online store are for illustration only. The Seller strives to accurately represent the colors but cannot guarantee that the Buyer’s device will display colors precisely. The Buyer acknowledges that the ordered goods may slightly differ in color, size, or shape.

2.2. The packaging of goods may differ from the images shown in the online store. The Seller is not responsible for packaging changes if they do not affect the quality of the goods.

2.3. All goods shown in the online store are available unless otherwise clearly indicated. If a ordered product is unavailable, the Buyer will be refunded within 5 business days to the bank account used for payment, and the order for this product will be canceled. The Seller will inform the Buyer of unavailability and offer alternatives, if any.

2.4. The Seller has the right to set minimum and/or maximum order quantities per order. These conditions will be clearly indicated in the online store and accepted by the Buyer before placing the order.

2.5. Main features and prices (including taxes such as VAT) of goods and services in the online store are shown in their descriptions. The Seller may change prices but such changes apply from the next order only.

2.6. Pricing and promotional validity periods are indicated in real time unless a specific term is stated. Prices and conditions at the time of order are considered valid upon order submission.

2.7. Payments for orders are made in euros, the currency of the Republic of Lithuania. The Buyer can choose the preferred payment method, but all payments must be in euros. The Seller guarantees secure payment processing following applicable laws.

2.8. Prices exclude delivery fees. Additional delivery charges, if any, will be clearly indicated before confirming the order. The Buyer agrees to pay for the selected delivery service.

2.9. The Seller may change prices and service terms without prior notice but such changes apply only to subsequent orders. Orders made before changes retain the originally indicated prices and terms.

2.10. If the Buyer disagrees with prices or terms, they may refuse the order before completing payment. The Seller ensures the Buyer is informed about additional costs, taxes, and delivery terms before payment.

3. PAYMENT PROCEDURE

3.1. The Buyer may pay by:

  • Using electronic banking services;

3.2. The Buyer commits to making the payment immediately upon receiving the payment notification.

3.4. VAT invoices will be sent to the Buyer by email provided in the order or with the delivery. The invoice includes:

  • Names of ordered goods;
  • Quantity;
  • Final price including taxes (VAT and others);
  • Discounts;
  • Delivery fees (if applicable);
  • Other required information under laws.

3.5. The Seller ensures the Buyer receives the invoice and necessary information, including return conditions, warranties, and other sale terms.

3.6. If payment is not made within 5 business days from ordering, the Seller may cancel the order and stop providing the goods. For further purchases, a new order and payment are required.

4. DELIVERY OF GOODS

4.1. The Buyer chooses the method of receiving goods and may use Seller’s delivery service.

4.2. The Seller commits to delivering within the time stated. The Buyer agrees that delivery may be delayed due to circumstances beyond the Seller’s control. In such cases, the Seller contacts the Buyer promptly to arrange new terms. The Seller is not responsible for delays caused by force majeure (e.g., natural disasters, war).

4.3. Goods are considered delivered when received at the Buyer’s specified address. If goods are not delivered on the planned day, the Buyer must notify the Seller immediately but no later than the next day after the planned date. Otherwise, the Buyer loses the right to claim non-delivery.

4.4. The Seller is not responsible for delivery delays caused by the Buyer’s fault or provided incorrect delivery details, or for lost goods due to such reasons.

4.5. Delivery prices shown on the website may change.

5. CONDITIONS FOR RETURNING GOODS

5.1. Returns and exchanges follow the Lithuanian Government Resolution No. 738 on retail rules and Civil Code articles 6.228(10) and 6.228(11). The Buyer has the right to return goods without reason within 14 days, as per Lithuanian consumer rights law and EU directives, unless the goods do not meet return conditions.

5.2. If the Buyer finds defects, they must notify the Seller within 24 hours of receipt and fill the return form on the Seller’s website section “Returns.”

5.3. The Buyer is responsible for proper packaging and completeness of returned goods. The Seller may refuse incomplete or improperly packaged returns that could damage the goods during transport.

5.4. Goods used, damaged, or that lost their commercial appearance are not accepted for return. Changes to packaging or appearance necessary to inspect the goods (e.g., removing protective covers) are not considered significant.

5.5. If it is found that the product does not meet quality requirements, the Seller must eliminate the defects or replace the goods with goods of appropriate quality in accordance with the provisions of Resolution No. 738 of the Government of the Republic of Lithuania "On the Approval of Retail Trade Rules" and Articles 6.228(10) and 6.228(11) of the Civil Code. If a similar product is not available, the Seller shall refund the Buyer the amount paid for the product.

5.6. Return shipping may be done via the Buyer’s chosen courier or by delivering goods to the Seller’s warehouse at Šilutės pl. 41, Klaipėda. If the returned goods are incorrect or defective, the Seller covers return costs and replaces the item or refunds the purchase price if no replacement is available.

5.7. The Seller may refuse returns if the Buyer fails to comply with return rules and conditions.

5.8. For returns not related to defects, costs for additional paid services (e.g., home delivery) paid by the Buyer are non-refundable.

6. BUYER’S OBLIGATIONS

6.1. The buyer must immediately update the information provided in the registration form if it changes.

6.2. The buyer must comply with all other requirements set forth in the Rules and the laws of the Republic of Lithuania.

7. BUYER’S RIGHTS

7.1. The buyer has the right to purchase goods in the online store in accordance with these Rules and the requirements of the laws of the Republic of Lithuania.

7.2. The Buyer may cancel the purchase contract without reason within 14 days of receipt of goods, notifying the Seller (except for exceptions below).

7.3. This right does not apply to:

​7.3.1. Goods made or assembled per special Buyer instructions and not pre-made;

​7.3.2. Contracts for goods ordered by the Buyer on a special order basis, which are not in stock (such goods are marked as "Special Order Goods") and are delivered only after the Buyer has placed a special order;

​7.3.3. In accordance with the consumer protection laws of the Republic of Lithuania and the European Union, in order to ensure clarity and consumer awareness, information about the exceptions specified in clause 7.3 of the Rules is provided to the Buyer before placing an order. After reviewing this information, the Buyer clicks the confirmation button (check mark) to confirm that they have read the terms and conditions.

8. SELLER’S OBLIGATIONS AND GUARANTEES

8.1. The Seller undertakes to provide the Buyer with access to the services of the online store and to ensure their proper functioning so that the Buyer can smoothly and conveniently use the opportunities offered by the store.

8.2. The Seller undertakes to comply with all other obligations set forth and assumed in these Rules.

8.3. The Seller guarantees that the goods meet the established quality standards.

9. SELLER’S RIGHTS

9.1. If the Buyer violates the rules of use of the online store or interferes with its operation, the Seller has the right to restrict, suspend, or terminate the Buyer's access to the online store without prior notice. In such a case, the Seller shall not be liable for any losses incurred by the Buyer, except in cases where the losses are caused by the Seller's fault.

9.2. The Seller has the right to unilaterally amend these Rules by publishing them on the website of the online store. The amendments shall take effect from the moment of publication, but the Buyer has the right to terminate the contract if the amendments are unacceptable to him within 14 days of the publication of the amendments.

9.3. The textual and graphic information on this website, which is protected under the Law on Copyright and Related Rights of the Republic of Lithuania, may be copied and printed for personal use only (except for information belonging to third parties that is not freely available). If this information is published or quoted, the original source of the information (i.e., the website and author) must be indicated.

9.4. The Seller shall have other rights provided for in the Rules, the Agreement, and the laws of the Republic of Lithuania, including, but not limited to, intellectual property rights and the right to protect its interests in accordance with applicable laws.

10. LIABILITY

10.1. The buyer is responsible for providing correct and accurate information in the registration form. The buyer assumes responsibility for any consequences arising from incorrect or inaccurate information provided.

10.2. The parties shall be liable for breaches of the contract of sale in accordance with the applicable laws of the Republic of Lithuania.

10.3. The Seller shall not be liable for information provided on other companies' websites, even if the Buyer accesses these websites via links provided in the Seller's online store.

10.4. The Seller is not responsible for any discrepancies in the color, shape, or other parameters of the goods that arise due to the characteristics of the buyer's screen, therefore, the images of the goods in the online store may differ from the actual ones.

10.5. The Seller shall not be liable for the total or partial failure to perform its obligations under the Agreement if this was due to force majeure, i.e.: fire, flood, earthquake, extreme weather and climate conditions, actions and/or inaction of state authorities and/or third parties, caused by the COVID-19 pandemic and/or other pandemics declared by the World Health Organization, a ban on the export or import of certain goods, a state of emergency or martial law, actual military action, temporary closure of certain roads, general national or local strikes, military coups, road traffic incidents, regulatory acts adopted by state authorities that make it impossible to perform the contract or temporarily prevent the Seller from fulfilling its obligations, changes or repeals of legislation due to force majeure circumstances, if these circumstances have a direct impact on the performance of this contract.

11. PERSONAL DATA PROCESSING

11.1. By clicking on the order confirmation button, the Buyer confirms that he and his representatives (who have the Buyer's consent) agree to provide the Seller with their personal data specified in these Rules and the registration form, and do not object to the Seller processing the personal data provided for the purposes of online trading.

11.2. The Seller undertakes to process the personal data provided by the Buyer in accordance with the General Data Protection Regulation (EU) 2016/679 and other applicable laws governing the protection of personal data. The Seller undertakes not to disclose or transfer the Buyer's personal data to third parties without the Buyer's consent, except in cases where such data transfer is necessary in accordance with the laws of the Republic of Lithuania or in order to fulfill the terms of the contract.

11.3. By clicking on the order confirmation button, the Buyer confirms that he and his representatives (who have the Buyer's consent) agree that upon collection of the goods, the Buyer or his representative will present one of the following identity documents (passport, identity card, or driver's license) to properly identify the Buyer and/or his representative. The Buyer also agrees that at the place of collection of the goods, the Seller and/or a third party designated by the Seller who delivered the goods may copy the data from the identity document presented and process this data for online trading purposes.

11.4. By clicking on the order confirmation button, the Buyer confirms that he (if he is a natural person) and his representatives are informed about their right to access the personal data processed by the Seller and how this data is processed. The Buyer also knows that they have the right to request the correction, destruction, or suspension of the processing of their personal data if the data is processed in violation of the law, and that they may object to the processing of their data for any purpose.

11.5.  By clicking on the order confirmation button, the Buyer confirms that he and his representatives are aware that they have the right to refuse to provide their personal data, but understand that personal data is necessary for the Buyer to be identified and to participate in online trading. The Buyer also understands that if they refuse to provide personal data or do not agree to its processing, they will not be able to conclude and/or execute a purchase and sale agreement.

11.6. The Seller’s Privacy Policy is available at www.soundbox.lt/privacy 

11.7.  Payments in the online store are processed via makecommerce.lt platform by Maksekeskus AS (Estonia), which is managed by Maksekeskus AS (Niine 11, Tallinn 10414, Estonia, reg. no.: 12268475), Therefore, your personal information required for payment execution and confirmation will be transferred to Maksekeskus AS.

12. COMMUNICATION

12.1. The Seller shall send all notifications to the Buyer to the email address specified in the Buyer's registration form.

12.2. The Buyer shall send all inquiries to the Seller at the address specified in the "Contacts" section of the online store.

13. FINAL PROVISIONS

13.1.  These Rules do not negate the rights of the Buyer (consumer) established by the laws of the Republic of Lithuania, including the rights to purchase goods or services of inadequate quality.

13.2.  If there is a disagreement between the Buyer and the Seller about these rules or how they're being followed, the parties will try to work it out through negotiation. If they can't agree, the Buyer shall have the right to refer the matter to the State Consumer Rights Protection Authority or to use alternative dispute resolution options, including the online dispute resolution platform (ODR) in accordance with Regulation (EU) No. 524/2013 of the European Parliament and of the Council on online dispute resolution. The ODR platform is available at https://ec.europa.eu/consumers/odr. If the dispute cannot be resolved amicably or through alternative means, it shall be examined by the courts of the Republic of Lithuania in accordance with the laws of the Republic of Lithuania.
